The specific services provided to a client may be governed by a separate proposal, quotation, work order, service agreement, statement of work ("SOW"), subscription agreement, or other written agreement. In case of conflict between these Terms and a specific written agreement, the terms of the specific agreement may prevail for the relevant service.

Yuroid Technology provides standard software products and customized technology solutions (such as School Management ERP, Hospital Management ERP, Transport Management ERP, Warehouse Management Software, Business Management Solutions, Web & Mobile Applications, AI Agents, and Custom Enterprise Software). We reserve the right to modify or improve our products, add or remove features, update software functionality, change service plans, or discontinue a product where reasonably necessary.
To enable us to provide services effectively, clients are responsible for providing accurate project requirements, timely content, feedback, approvals, and access to required third-party systems. Clients must ensure they own or have permission to use any content, data, images, or materials supplied to Yuroid Technology. Delays caused by the client may affect project timelines and delivery dates.
For custom development projects, the scope of work, features, deliverables, milestones, timelines, pricing, and payment terms will be defined in a separate proposal, quotation, SOW, or agreement. Additional features outside the agreed scope may be treated as change requests incurring extra charges and affecting delivery timelines.
Project timelines are based on the agreed scope and dependencies. Delivery timelines may be affected by changes in requirements, delayed client feedback/approvals/payments, third-party dependencies, hosting issues, or force majeure events. Estimated delivery dates are approximate unless expressly guaranteed in writing.
Applicable fees are communicated via quotations, proposals, invoices, subscription plans, or agreements. Payment may be structured as advance payments, milestone-based, subscriptions, or recurring fees. Delayed payments may affect project timelines or service availability, and services may be suspended for materially overdue payments.
Certain products are provided on a monthly, quarterly, annual, or enterprise subscription basis. Subscription fees, billing cycles, renewal terms, and user limits will be specified in the applicable plan. Subscriptions may automatically renew if agreed upon, and cancellations must follow the applicable cancellation terms.
Free trials, demonstrations, or limited-access versions are provided on an "as-is" basis without warranties. Features may be restricted, access may expire, and trial data may be deleted following the trial period.
All intellectual property rights in our website, brand, logo, software products, platforms, source code, designs, graphics, and documentation are owned by or licensed to Yuroid Technology. You may not copy, reproduce, reverse engineer, decompile, modify, sell, or sublicense our proprietary technology without prior written permission.
Clients retain ownership of the content, business data, documents, and materials they provide to Yuroid Technology. Clients grant Yuroid Technology the limited rights necessary to process such materials solely for providing the agreed services.
Ownership of custom-developed software and deliverables will be determined by the applicable written agreement. Yuroid Technology retains ownership of its pre-existing technology, reusable frameworks, libraries, tools, and methodologies unless expressly transferred in writing upon full payment.
Each party agrees to use reasonable measures to protect the other party's confidential information (such as business plans, technical specs, source code, credentials, and customer data) and not disclose it to unauthorized third parties, except as required by law or to professional advisers under confidentiality duties.
Our collection and processing of personal information is governed by our Privacy Policy. Clients are responsible for ensuring they have appropriate rights and permissions to collect and process personal data through solutions provided by Yuroid Technology.
Our solutions may integrate with third-party platforms, hosting providers, cloud services, payment gateways, SMS/Email services, or AI tools. The availability and performance of third-party services are outside our direct control, and we are not responsible for third-party interruptions or failures.
AI-generated results from our AI tools or agents may contain inaccuracies and require human verification. AI outputs should be independently verified before relying on them for critical business decisions and do not constitute legal, medical, or financial advice.
While we aim to provide reliable services, uninterrupted availability cannot be guaranteed. Scheduled or emergency maintenance, updates, or infrastructure issues may temporarily interrupt service availability.
Technical support is provided according to the applicable plan or agreement. Support includes technical troubleshooting and bug investigation, but excludes new feature development, major software changes, or issues caused by unauthorized modifications/misuse.
You are responsible for maintaining the confidentiality of your login credentials and for all activities performed through your account. You must notify us promptly of any unauthorized access.
You may not use our services to commit fraud, violate laws, infringe IP rights, distribute malware, conduct cyberattacks, or harvest data unlawfully. We reserve the right to suspend or terminate access for prohibited activities.
To the maximum extent permitted by law, our website and services are provided on an "as available" and "as is" basis unless expressly stated otherwise in a written agreement. We do not guarantee error-free operation or uninterrupted access.

Refunds and cancellations are governed by our Refund and Cancellation Policy and applicable service contracts. Project advance payments may be non-refundable once work has commenced.
Yuroid Technology shall not be held liable for failure or delay in performance resulting from events beyond our reasonable control, such as natural disasters, government actions, cyberattacks, power failures, or major network disruptions.
We may update these Terms & Conditions periodically. Updated versions will be published on our website with a revised "Last Updated" date. Continued service use constitutes acceptance of updated Terms.
These Terms shall be governed by and interpreted in accordance with the laws of India, subject to the exclusive jurisdiction of the appropriate courts in India.
If any provision is found invalid or unenforceable, remaining provisions remain in full effect. Failure to enforce any provision does not constitute a waiver of rights.
These Terms, together with our Privacy Policy, Refund Policy, and specific client agreements, constitute the entire agreement regarding website and service use.
